MISSION

Our mission is, amongst other sustainable economic development objectives, to assist especially under-developed, developing and emerging market economies experiencing high inflation or hyperinflation to immediately stop


(1) the very erosive effect of such high inflation or hyperinflation in their monetary economies, as well as

(2) the equally erosive effect of the stable measuring unit assumption in their constant real value non-monetary item (constant item) economies

by means of the implementation of capital maintenance in units of constant purchasing power as authorised in IFRS twenty three years ago.


This would stabilise a country´s entire economy which would increase the level of sustainable economic development for an indefinite period of time in all entities that at least break even in real value – all else being equal.


Daily Index Plan


Our activities can take various forms, especially technical assistance to these countries´ National Accounting Standards Authorities to immediately adopt capital maintenance in units of constant purchasing power as authorised in International Financial Reporting Standards (IFRS) in 1989.

This entails the implementation of the Daily Index Plan which consists of the following two parts:


(a) Capital maintenance in units of constant purchasing power as authorised in IFRS in terms of a Daily Consumer Price Index (Daily CPI) in high inflation economies and the daily US Dollar free-market exchange rate in hyperinflationary economies.


(b) Daily inflation-indexing of the entire money supply under complete co-ordination.


The Daily Index Plan is based on the very successful 1994 Brazilian Real Plan with the accounting part authorised in IFRS in 1989. It is guaranteed to remove


(i) the very erosive effect of high inflation and hyperinflation from the monetary economy, as well as


(ii) the equally erosive effect of the stable measuring unit assumption from the constant item economy when the plan is implemented correctly.

BASIS OF ACCOUNTING


Basis of Accounting

All daily accounting as well as financial reporting of Sustainable Development Without Borders shall be done at all levels of inflation and deflation in terms of financial capital maintenance in units of constant purchasing power in terms of the Daily Consumer Price Index in Portugal as authorized in International Financial Reporting Standards in the Conceptual Framework (2010), Paragraph 4.59 (a).

IFRS are implemented in Portugal.

FOUNDING MEETING

The founding meeting of the newly formed Non – Governmental Organisation, SUSTAINABLE DEVELOPMENT WITHOUT BORDERS (NGO) was held on the premises of AERLIS in Oeiras on 30 November 2012.

The mission of the newly formed NGO is amongst other sustainable economic development objectives to assist under-developed, developing and emerging market countries experiencing high inflation or hyperinflation to immediately stop

(a) the very erosive effect of such high inflation or hyperinflation in their monetary economies as well as
(b) the equally erosive effect of the stable measuring unit assumption in their constant real value non-monetary item economies (constant item economies) with the Daily Index Plan.

The Daily Index Plan has two parts:

(i) Capital maintenance in units of constant purchasing power as authorised in IFRS in 1989 and
(ii) Daily inflation-indexing of the entire money supply under complete co-ordination.

The Daily Index Plan is based on the very successful Brazilian Real Plan that stopped hyperinflation in Brazil overnight at no cost.

This would stabilise the entire economy which would increase the level of sustainable economic development for an indefinite period of time in all entities that at least break even in real value – all else being equal.

The founding members provisionally elected the following members to the statutory bodies:

ARTICLES OF ASSOCIATION

CHAPTER I


Nature, Name, Headquarters and Objectives


Article 1.


Name, Headquarters and Duration



1 - The private law and not-for-profit Association adopts the name of SUSTAINABLE DEVELOPMENT WITHOUT BORDERS (Non-Governmental Organisation for Development Cooperation), hereinafter referred to only by SDWB.


2 - It has its headquarters at Avenida dos Decobrimentos 10, 3E, 2740-044 Porto Salvo, Oeiras, Portugal.


3 - SDWB can create, by resolution of the Management Board, delegations or other forms of representation, domestically or abroad, appropriate to their activities.


4 - SDWB is constituted for an indefinite period of time, according to common law, namely Law no. 66/98 of 14 October, the Law regarding Non-Governmental Organisations in Development Cooperation.


Article 2.


General Objectives



1 - The general objective of SDWB is the conception, implementation and support of programs and cooperation projects for sustainable economic development, especially through actions in under-developed, developing and emerging market countries.


2 - It is also an objective of SDWB to increase public awareness for the need of an increasingly more involved relationship with under-developed and developing countries, as well as publicising their realities.


3 - SDWB, aware that education is an essential factor for the sustainable development of economies and the existence and strengthening of peace, regards the promotion of this objective as a fundamental dimension of its activities.


4 - SDWB conducts its activities in accordance with the Universal Declaration of Human Rights.


Article 3.


Specific Objectives



To achieve its objectives, SDWB proposes to stimulate and boost projects and initiatives, directly or indirectly, by creating the necessary and appropriate conditions for their support, in respect of cooperation for sustainable economic development, which could include activities in several areas, especially:


Cooperation with under-developed, developing and emerging market countries, especially in countries with high inflation or hyperinflation:


1. Scientific and technical assistance:


Projects such as, for example: scientific and technical advice to the National Accounting Standards Authorities of these countries in order to achieve sustainable economic development through the immediate adoption of the financial capital maintenance in units of constant purchasing power accounting model originally authorised in 1989 as an option in International Accounting Standards (International Financial Reporting Standards - IFRS) in the Framework (1989), Par. 104 (a) - now the Conceptual Framework (2010), Par. 4.59 (a) - which states: "Financial capital maintenance can be measured in either nominal monetary units or units of constant purchasing power."


Financial capital maintenance in units of constant purchasing power would automatically maintain the real value (purchasing power constant) of capital constant for an indefinite period of time in all entities (companies) that  at least break even in real value - ceteris paribus - at all levels of inflation and deflation, including during high inflation and hyperinflation.


The International Accounting Standards Board (IASB) voted unanimously in May 2012 to submit the future replacement of IAS 29 Financial Reporting in Hyperinflationary Economies to research based on the draft standard IFRS 'X' CAPITAL MAINTENANCE IN UNITS OF CONSTANT PURCHASING POWER  that will require financial capital maintenance in units of constant purchasing power in countries with inflation equal to or greater than 10 percent per year or accumulated inflation equal to or greater than 26 percent over three years.


2. Education for sustainable economic development:


Implement projects and / or collaborate on educational programs, especially related to sustainable economic development through the adoption of the latest economic,  accounting and business concepts;


Support access to education with scholarships;


Encourage economic research that will lead to sustainable economic development;


3. Vocational training


Implement projects and / or collaborate on programs that improve the knowledge, skills, attitudes or behaviours of people in the economy that will result in sustainable economic development.


In accordance with its objectives, SDWB can promote publishing activities, conferences, shows or meetings.


Article 4.


Volunteering



1 - For the achievement of its initiatives, SDWB can promote volunteering in Portugal and in under-developed, developing and emerging market countries.


2 - SDWB aims to ensure technical and professional training of volunteers, who may or may not be members or, if necessary, establish specific protocols with credible experienced agencies in the selection and training of candidates.


3 - SDWB, in the certainty that long term volunteering is the most effective, also seeks to facilitate volunteering in entire families.


Article 5.


Legal business and institutional collaboration



1 - SDWB may perform legal and business activities that directly or indirectly contribute to the achievement of its objectives.


2 - SDWB can collaborate with similar national, foreign or international organisations.


3 - SDWB may conclude cooperation agreements and protocols with state or other agencies.


CHAPTER II


Property and Resources



Article 6.


Property



1 - The property of SDWB, its funds and income, consist, among others, of:


a) Contributions of its members;


b) Any grants, donations, legacies, bequests or donations from public or private entities - Portuguese, foreign or international;


c) All goods that SDWB acquires freely or for consideration, and the acceptance of gifts, inheritances or bequests with conditions or charges, depend on the deliberation of the Management Board and always with the conditions and charges being compatible with the objectives of SDWB;


d) All movable and immovable property acquired for SDWB´s operation and installation, necessary for the performance of its activities.


2 - Contributions from SDWB members may take the form of membership fees as determined by the General Assembly, which will determine the amount.


Article 7.


Financial Management



1 - In pursuing its objectives, SDWB can:


a) Acquire, dispose of or encumber movable or immovable property in any capacity;


b) Accept any gifts, bequests or inheritances, without prejudice to Article 6., paragraph 1, c);


CHAPTER III


Members


Article 8.


Members



1 - SDWB consists of an unlimited number of natural or legal persons, not being able to have associates fewer than the number of members foreseen for the relevant statutory bodies.


2 - Admission as a member of SDWB is by resolution of the Management Board, after request by interested parties.


3 - There are two types of members:


- Associate Members;


- Honorary Members;


a) Associate Members of SDWB are natural or legal persons wishing to participate actively in the actions or activities undertaken by SDWB.


b) Honorary Members of SDWB are natural or legal persons who are recognised to have rendered relevant services by which they have unequivocally and significantly contributed to increase the civic and social prestige and prominence of SDWB.


Article 9.


Rights and Duties



1 - SDWB members have equal rights and duties and so participate in equality in the activities of the Association.


2 - All members of SDWB can elect and be elected to the governing bodies of the Association and may not without strong and understandable reason, refuse election.


3 - Accession to SDWB involves the obligation of compliance with its objectives, the Articles of Association and legitimate decisions of the statutory bodies.


4 - Members can leave SDWB on their own initiative at any time.


5 - The suspension or exclusion from membership of SDWB, for serious breach of duty, requires a resolution of the General Assembly by a majority of three-quarters of the members present with the safeguard of the right of defence.


6 - The departure or exclusion of a member does not involve any right to a refund of the amounts of dues or donations to which SDWB have been a beneficiary.


7 - Membership of SDWB is not transferable, whether inter vivos or by succession.


8 - All members of SDWB have one vote in the General Assembly, having the right to delegate it to another member by means of a letter addressed to the President of the General Assembly.


9 - No member may exercise, by delegation, the vote of more than one member.


10 - Legal entities are entitled to one vote in the General Assembly, participate in the activities of SDWB through specifically designated representatives and who may be elected to the remaining statutory bodies.


11 – All Members are forbidden to take public positions on behalf of SDWB except its legal or statutory representatives.


12 - Members may not vote for themselves or as representatives of others in matters that directly affect them or in which their spouses, ascendants, descendants and equivalents are interested.


13 – A postal vote is allowed provided that its intention is expressly indicated in relation to an item or items on the agenda, for which the member’s signature suffice.


14 – It is not allowed to elect any member for more than two consecutive terms for any statutory body of SDWB; unless the General Assembly expressly acknowledges that the member’s substitution is impossible or inconvenient.


CHAPTER IV


Administration and Operation


Article 10.


Statutory Bodies



1 - The statutory bodies of SDWB are:


a) The General Assembly;


b) The Management Board;


c) The Audit Committee;


2 - Members of the General Assembly Board, the Management Board and the Audit Committee are elected and removed by the General Assembly, by secret ballot, for a term of three years and may be renewable for a similar period.


3 - If, due to force majeure, it is not possible to hold the General Assembly meeting, the office of the members of those bodies extends to the new meeting date.


4 - No person, natural or legal, can be elected and exercise simultaneously, in the same period, more than one position in SDWB´s statutory bodies.







5 - The decisions of statutory bodies are taken by majority vote of its members, with the exception of the resolutions of the General Assembly, which are taken by a majority of members present.


6 – Minutes of all statutory bodies´ meetings shall be taken, and after being approved, shall be signed by all members present, except by the General Assembly, which shall be signed only by the three members of the General Assembly Board.


7 - The powers of the statutory bodies and their implementation are as stipulated in the law, the present Articles of Association and the Internal Operating Rules procedure.


8 - The exercise of an executive position in the statutory bodies of SDWB is not entitled to any compensation, unless otherwise determined by the General Assembly, which shall determine the respective compensation, but can justify paying expenses arising therefrom or in the case of members of the Management Board, a sum to cover the costs of representation.


9 - When the volume of movement or complexity of the financial administration of SDWB require the prolonged presence of one or more members of the statutory bodies, in particular the members of the Management Board, they may be remunerated in accordance with the preceding paragraph.


Article 11.


General Assembly



1 - The General Assembly is made up of all SDWB members in full exercise of their rights.


2 - The General Assembly is endowed with the fullness of skills necessary to achieve the objectives of SDWB which are not included in the legal, statutory or regulatory attributes of the other bodies.


3 - Exclusive General Assembly duties:


a) The election and dismissal of the members of the General Assembly Board, the Management Board and the Audit Committee;


b) Approval of the general strategic direction of SDWB´s activities, as well as its key areas of activity;


c) The modification of the Articles of Association;


d) The approval of the Internal Operating Rules;


e) The suspension and exclusion of members;


f) Approval of the Annual Report and Accounts;


g) The approval of the Budget and the Annual Operations Plan;


h) The authorisation to take legal action against SDWB board members, if necessary, for illegal acts committed in office;


i) the voluntary termination, merger or demerger of SDWB;


j) approving the joining of unions, federations or confederations.


4 - The General Assembly shall ordinarily meet when convened by its Chairman, on a mandatory basis twice a year, once before March 31 for approval of the Annual Report and Management Accounts, and again until November 15 for the consideration and approval of the Budget and the Annual Operations Plan.


5 - The General Assembly may be convened extraordinarily by the initiative of its Chairman, or when requested by the Management Board, or by a minimum of ten percent of its members.


6 - Notice shall be given in person, through postal notification, email or other written form, issued to each member of SDWB, or by notice published in the two newspapers with the largest circulation in the area where the Association's headquarters is located, with at least fifteen days notice, stating the time and place of the meeting and the respective agenda.


7 - In the first call, the General Assembly is constituted and validly deliberates if at least half of its members are present.


8 - In the second call, the General Assembly is constituted an hour later and validly deliberates with any number of participants.


9 - The General Assembly by a majority of members present.


10 - For the modification of the Articles of Association, the exclusion and suspension of members, the votes of three-quarters of the members present in the Assembly are needed, both in the first and second call.


11 - For the liquidation, merger or demerger of SDWB, the votes of three-quarters of the members are needed, both in the first and second call.


Article 12.


General Assembly Board



1 - The General Assembly Board shall consist of a Chairman, a Vice Chairman and a Secretary of the General Assembly Board.


Article 13.


Management Board



1 - The Management Board is composed of an odd number of members, not less than three and not more than seven, elected by the General Assembly.


2 - The Board consists of an Executive Director, a Vice Executive Director and one or more Directors.


3 - The Management Board has the broadest powers of management and administration, safeguarded by the duties and powers of the other statutory bodies.


4 - The Management Board shall:


a) Comply with and enforce the Articles of Association and the decisions of the other statutory bodies;


b) Represent SDWB in court and before public and private entities;


c) Enter into and execute any contract on behalf of SDWB, including employment contracts, purchasing, selling, renting and leasing of movable and immovable property;


d) Request the convening of the General Assembly and the Audit Committee in statutory terms;


e) Prepare the Annual Report and Accounts and submit them to the Audit Committee for verification and consideration before the meeting of the General Assembly;


f) Prepare the Budget and Annual Operations Plan;


g) Admit new members and propose their exclusion to the General Assembly;


h) Accept gifts, inheritances or legacies, subject to the provisions of Article 6., number 1, c).


5 - The Management Board shall act by majority vote of its members, with the Executive Director having the casting vote.


6 - The Management Board meets whenever required in the pursuit of SDWB´s objectives, convened by its Executive Director, or his / her legal substitute in his / her absence or disability.


7 - The Management Board may create departments to facilitate the better performance of its duties, in accordance with the requirements of SDWB´s activities.


Article 14.


Audit Committee


1 - The Audit Committee consists of a Chairman, a Relator and a Secretary of the Audit Committee, elected by the General Assembly.


2 - The Audit Committee shall:


a) Supervise the activities of the Management Board, particularly in relation to compliance with the legal and statutory requirements;


b) Examine the economic and financial management of SDWB;


c) Review and verify the Annual Report and Accounts.


3 - The Audit Committee shall be convened by its Chairman, ordinarily at least once a year, and extraordinarily on their own initiative or when requested by the Management Board.


CHAPTER V


General Provisions


Article 15.



Legal Binding


SDWB is legally bound by the joint signatures of two Management Board members, one of which should compulsorily be that of the Executive Director or his / her legal substitute, except for acts of mere expediency when the signature of one of those members is sufficient.


Article 16.


Executive Year


For the purposes of these Articles of Association and the Internal Operating Rules, the executive year coincides with the calendar year.


Article 17.


Liquidation, Merger or Demerger



1 - The liquidation, merger or demerger of SDWB may only be resolved in a General Assembly meeting convened expressly for that purpose, with the approval of three-quarters of its members in the full exercise of their rights, maintaining its legal existence, as from then, exclusively for such purposes.


2 - In the event of liquidation, the allocation of SDWB´s assets will be decided by the General Assembly, and, except for legal provisions to the contrary, is deemed more appropriate for achieving the objectives for which it was constituted and shall, in particular, and whenever possible, revert to official institutions or services with identical objectives.


Article 18.


Subsidiary Rules


Omissions in the present Articles of Association are governed by the Internal Operating Rules and relevant legal provisions for associations and non-governmental organisations for co-operation and development.

ESTATUTOS

CAPÍTULO I

Natureza, Denominação, Sede e Objectivos

Artigo 1º.

Denominação, Sede e Duração

1 - A Associação de direito privado e sem fins lucrativos adopta a denominação de SUSTAINABLE DEVELOPMENT WITHOUT BORDERS (Organização Não Governmental de Cooperação para o Desenvolvimento), adiante designada apenas por SDWB.

2 - Tem a sua sede na Avenida dos Descobrimentos 10, 3E, freguesia do Porto Salvo 2740-044, concelho de Oeiras, Portugal.

3 – A SDWB poderá criar, por deliberação da Direcção, delegações ou outras formas locais de representação, no território nacional ou no estrangeiro, adequadas às suas actividades.

4 - A SDWB é constituída por tempo indeterminado, de acordo com a lei geral, nomeadamente, Lei nº. 66/98 de 14 de Outubro, a Lei relativa às Organizações Não Governamentais de Cooperação para o Desenvolvimento.

Artigo 2º.

Objectivos Gerais

1 - A SDWB tem por objectivo geral a concepção, a execução e o apoio a programas e projectos de cooperação para o desenvolvimento económico sustentável, especialmente através de acções nos países em vias de desenvolvimento e de mercado emergente.

2 - É ainda objectivo da SDWB a sensibilização da opinião pública para a necessidade de um relacionamento cada vez mais empenhado com os países em vias de desenvolvimento, bem com a divulgação das suas realidades.

3 - A SDWB, conscientes de que a educação é um factor imprescindível para o desenvolvimento sustentável das economias e para a existência e o reforço da paz, assume a promoção desse objectivo como uma dimensão fundamental da sua actividade.

4 - A SDWB desenvolve as suas actividades no respeito pela Declaração Universal dos Direitos do Homem.

Artigo 3º.

Fins Principais

Para a prossecução dos seus objectivos, a SDWB propõe-se estimular e dinamizar projectos e iniciativas, a realizar directa ou indirectamente, criando as condições necessárias e adequadas para a sua sustentação, no respeito de cooperação para o desenvolvimento económico sustentável, podendo incidir em diversas áreas de intervenção, especialmente:

Cooperação com os países em vias de desenvolvimento e de mercado emergente, especialmente em países com alta inflação ou hiperinflação:

1. Assistência científica e técnica:

Projectos como, por exemplo: o aconselhamento científico e técnico às Autoridades de Normas Nacionais de Contabilidade destes países com o objectivo de a alcançar o desenvolvimento económico sustentável através da adopção imediata do modelo de contabilidade de manutenção do capital financeiro em unidades de poder de compra constantes originalmente autorizada em 1989 como uma opção em Normas Internacionais de Contabilidade (International Financial Reporting Standards – IFRS) no Framework (1989), Par. 104 (a) - agora o Conceptual Framework (2010), Par. 4.59 (a) - que afirma: "Manutenção do capital financeiro pode ser medida tanto em unidades monetárias nominais ou em unidades de poder de compra constantes."

Manutenção do capital financeiro em unidades de poder de compra constantes seria automaticamente manter o valor real (poder de compra constante) do capital constante por um período indefinido de tempo em todas as entidades (empresas) que pelo menos atinge o ponto de equilíbrio em valor real - ceteris paribus - em todos os níveis de inflação e deflação, inclusive durante a alta inflação e hiperinflação.

O International Accounting Standards Board (IASB) votou por unanimidade em Maio 2012 a apresentar a futura substituição do IAS 29 Relato Financeiro em Economias Hiperinflacionárias para a investigação com base na norma provisória IFRS 'X' MANENTEÇÃO DE CAPITAL EM UNIDADES DE PODER DE COMPRA CONSTANTES (http://realvalueaccounting.blogspot.pt/2012/02/ifrs-x-capital-maintenance-in-units-of.html) que vai exigir manutenção do capital financeiro em unidades de poder de compra constantes em países com inflação de 10 por cento por ano ou 26 por cento acumulada durante três anos.

2. Educação para o desenvolvimento económico sustentável:

Implementar projectos e/ou colaborar em programas educativos, sobretudo relacionadas com o desenvolvimento económico sustentável através da adopção dos mais recentes conceitos económicos, contabilísticos e de negócio;

Apoiar o acesso ao ensino com bolsas de estudo;

Incentivar a investigação científica na economia que vai levar a um desenvolvimento económico sustentável;

3. Formação profissional

Implementar projectos e/ou colaborar em programas que melhorem o conhecimento, competências profissionais, atitudes ou comportamentos das pessoas na economia que vai resultar no desenvolvimento económico sustentável.

Em conformidade com os seus objectivos, a SDWB poderá promover actividades editoriais, manifestações, congressos, espectáculos ou encontros.

Artigo 4º.

Voluntariado

1 - Para a concretização das suas iniciativas, a SDWB poderá promover o voluntariado em Portugal e nos países em desenvolvimento e de mercado emergente.

2 - A SDWB assegurará a formação técnico-profissional de voluntários, que poderão ou não ser seus membros ou, se necessário, estabelecerá protocolos específicos com organismos de reconhecida experiência em matéria de selecção e formação de candidatos.

3 - A SDWB, na certeza de que o voluntariado mais eficaz é o de longo prazo, procurará viabilizar também o voluntariado de núcleos familiares inteiros.

Artigo 5º.

Negócios jurídicos e colaboração institucional

1 - A SDWB poderá realizar actos e negócios jurídicos que, directa ou indirectamente, contribuam para a realização dos seus objectivos.

2 - A SDWB poderá colaborar com outros organismos de finalidades análogas, nacionais, estrangeiros ou internacionais.

3 - A SDWB poderá celebrar protocolos e acordos de cooperação com organismos estatais ou outros.

CAPÍTULO II

Património e Recursos

Artigo 6º.

Património

1 - O património da SDWB, os seus fundos e rendimentos, são constituídos, entre outros, por:

a) Contribuições dos seus membros;

b) Quaisquer subsídios, donativos, heranças, legados ou doações de entidades públicas ou privadas, portuguesas, estrangeiras ou internacionais;

c) Todos os bens que à SDWB advierem a título gratuito ou oneroso, devendo a aceitação de doações, heranças ou legados sob condição ou com encargos, depender de deliberação da Direcção e sempre que se verifique a compatibilização da condição e do encargo com os objectivos da SDWB;

d) Todos os bens móveis e imóveis adquiridos para o seu funcionamento e instalação, necessários ao exercício da sua actividade.

2 - Os contributos dos membros da SDWB poderão assumir a forma de quotas, mediante deliberação da Assembleia Geral, que fixará o respectivo montante.

Artigo 7º.

Gestão Financeira

1 - Na prossecução dos seus objectivos, a SDWB pode:

a) Adquirir, alienar ou onerar, a qualquer título, bens móveis ou imóveis;

b) Aceitar quaisquer doações, heranças ou legados, sem prejuízo do disposto no artigo 6º., número 1, alínea c);

CAPÍTULO III

Membros

Artigo 8º.

Membros

1 – A SDWB é composta por um número ilimitado de pessoas singulares e colectivas, não podendo ter um número de associados inferior dos membros previstos para os respectivos órgãos estatutários.

2 - A admissão como membro da SDWB faz-se mediante deliberação da Direcção, após solicitação dos interessados.

3 - Existem dois tipos de membros:

- Membros associativos;

- Membros honorários;

a) São membros associativos da SDWB as pessoas singulares ou colectivas que pretendam participar activamente nas acções ou actividades desenvolvidas pela SDWB.

b) São membros honorários da SDWB as pessoas singulares ou colectivas que, reconhecidamente, lhe tenham prestado relevantes serviços, pelos quais tenham contribuído, de forma inequívoca e significativa, para o aumento do prestígio e notoriedade cívica e social da SDWB.

Artigo 9º.

Direitos e Deveres

1 - Os membros da SDWB têm direitos e deveres iguais e participam de modo paritário na actividade da Associação.

2 - Todos os membros da SDWB podem eleger e ser eleitos para os órgãos estatutários da Associação, não podendo sem razão forte e entendível, recusar a eleição.

3 - A adesão à SDWB envolve a obrigação do respeito dos seus objectivos, dos estatutos e das deliberações legítimas dos órgãos estatutários.

4 - Os membros podem sair da SDWB por sua iniciativa, a qualquer momento.

5 - A suspensão ou exclusão da qualidade de membro da SDWB, por violação grave dos seus deveres, depende de deliberação da Assembleia Geral por maioria de três quartos dos membros presentes com salvaguarda dos direitos de defesa.

6 - A saída ou exclusão de um membro não envolve qualquer direito à restituição dos montantes das quotas pagas ou dos donativos de que a SDWB tenha sido beneficiária.

7 - A qualidade de membro da SDWB não é transmissível, quer por acto entre vivos quer por sucessão.

8 - Todos os membros da SDWB têm direito a um voto na Assembleia Geral, podendo delegá-lo noutro membro, através de simples carta dirigida ao Presidente da mesa.

9 - Nenhum membro pode exercer, por delegação, o voto de mais de um associado.

10 - As pessoas colectivas associadas têm direito a um voto na Assembleia Geral e participam na actividade da SDWB através de representantes especificamente designados, podendo ser eleitos para os restantes órgãos estatutários.

11 - Estão vedadas a todos os membros tomadas de posição públicas em nome da SDWB, excepto aos seus representantes legais ou estatutários.

12 – Os membros não poderão votar, por si ou como representantes de outrem, nas matérias que directamente lhes digam respeito, ou nas quais sejam interessados os respectivos cônjuges, ascendentes, descendentes e equiparados.

13 – É admitido o voto por correspondência sob condição de o seu sentido ser expressamente indicado em relação ao ponto ou pontos da ordem de trabalhos, bastando, para o efeito, a assinatura do membro.

14 – Não é permitida a eleição de quaisquer membros por mais de dois mandatos consecutivos para qualquer órgão da SDWB, salvo se a Assembleia Geral reconhecer expressamente que é impossível ou inconveniente proceder à sua substituição.

CAPÍTULO IV

Administração e Funcionamento

Artigo 10º.

Órgãos Estatutários

1 - São órgãos estatutários da SDWB:

a) A Assembleia Geral;

b) A Direcção;

c) O Conselho Fiscal;

2 - Os membros da mesa da Assembleia Geral, da Direcção e do Conselho Fiscal são eleitos e destituídos em Assembleia Geral, por votação secreta, para um mandato de três anos, podendo ser renovável por um igual período.

3 - Se, por motivo de força maior, não for possível realizar a reunião da Assembleia Geral, o mandato dos membros daqueles órgãos prolonga-se até à data de nova reunião.

4 - Nenhuma pessoa, singular ou colectiva, pode ser eleita e exercer o desempenho simultâneo, no mesmo mandato, de mais de um cargo nos órgãos estatutários da SDWB.

5 - As deliberações dos órgãos estatutários são tomadas por maioria dos votos dos seus membros, à excepção das deliberações da Assembleia Geral, que são tomadas por maioria dos membros presentes.

6 - Das reuniões de todos os órgãos estatutários, será lavrada acta que, depois de aprovada, será assinada por todos os membros presentes, excepto a da Assembleia Geral, que deverá ser assinada apenas pelos membros da Mesa.

7 - As competências dos órgãos estatutários e a sua articulação são as que se encontram estipuladas na lei, nos presentes estatutos e no regulamento de funcionamento interno.

8 – O exercício de qualquer cargo nos órgãos estatutários da SDWB não tem direito a remuneração, salvo deliberação em contrário da Assembleia Geral, que fixará a remuneração respectiva, mas pode justificar o pagamento de despesas dele derivadas ou, no caso dos membros da Direcção, de uma verba para fazer face a despesas de representação.

9 – Quando o volume do movimento financeiro ou a complexidade da administração da SDWB exijam a presença prolongada de um ou mais membros dos órgãos estatutários, em particular os membros da Direcção, poderão estes vir a ser remunerados, em conformidade com o disposto no número anterior.

Artigo 11º.

Assembleia Geral

1 - Constituem a Assembleia Geral todos os membros da SDWB no pleno exercício dos seus direitos.

2 - A Assembleia Geral é dotada da plenitude das competências necessárias à realização dos objectivos da SDWB e não compreendidas nas atribuições legais, estatutárias ou regulamentares dos outros órgãos.

3 - São competência exclusiva da Assembleia Geral:

a) A eleição e destituição dos membros da Mesa da Assembleia Geral, da Direcção e do Conselho Fiscal;

b) A aprovação da definição das linhas gerais de orientação estratégica da actividade da SDWB, bem como das suas áreas fundamentais de actuação;

c) A modificação dos estatutos;

d) A aprovação do regulamento de funcionamento interna;

e) A exclusão e suspensão dos associados;

f) A aprovação do relatório e contas anuais;

g) A aprovação do orçamento e do plano de actividades anuais;

h) A autorização para a SDWB demandar os membros da direcção por factos praticados no exercício do cargo;

i) A extinção, cisão ou fusão voluntária da SDWB;

j) A aprovação da adesão a uniões, federações ou confederações.

4 - A Assembleia Geral reúne mediante convocação do seu Presidente, de forma ordinária, obrigatoriamente duas vezes por ano, uma até 31 de Março, para aprovação do relatório e contas de gerência, e outra até 15 de Novembro para apreciação e votação do orçamento e do plano de actividades.

5 - A Assembleia Geral pode ser convocada extraordinariamente por iniciativa do seu Presidente, ou quando pedida a sua convocação pela Direcção, ou ainda por um número mínimo de dez por cento dos seus membros.

6 - A convocação deverá ser feita pessoalmente, por meio de aviso postal, por correio electrónico ou por outra forma escrita, expedida para cada um dos membros da SDWB, ou através de anúncio publicado nos dois jornais de maior circulação da área onde se situe a sede da associação, com a antecedência mínima de quinze dias, da qual conste o dia, hora e local da reunião, bem como a respectiva ordem de trabalhos.

7 - Em primeira convocação, a Assembleia Geral constitui-se e delibera validamente desde que estejam presentes, pelo menos, metade dos seus membros.

8 - Em segunda convocação, a Assembleia Geral constitui-se uma hora depois e delibera validamente com qualquer número de presenças.

9 - A Assembleia Geral delibera por maioria dos membros presentes.

10 - Para a modificação dos estatutos, a exclusão e suspensão dos associados, é necessário o voto de três quartos dos membros presentes na Assembleia, tanto em primeira como em segunda convocação.

11 - Para a extinção, cisão ou fusão da SDWB, é necessário o voto de três quartos dos membros, tanto em primeira como em segunda convocação.

Artigo 12º.

Mesa da Assembleia Geral

1 - A Mesa da Assembleia Geral será composta por um Presidente, um Vice-Presidente e um Secretário.

Artigo 13º.

Direcção

1 - A Direcção é composta por um número ímpar de membros, não inferior a três e não superior a sete, eleitos pela Assembleia Geral.

2 – A Direcção é composta por um Presidente, um Vice-Presidente e um Vogal.

3 - A Direcção tem os mais amplos poderes de gestão e administração com salvaguarda das competências dos restantes órgãos estatutários.

4 - Compete à Direcção, designadamente:

a) Cumprir e fazer cumprir os estatutos e as deliberações dos restantes órgãos estatutários;

b) Representar a SDWB em juízo e perante entidades públicas e privadas;

c) Celebrar e executar qualquer contrato em nome da SDWB, designadamente contractos de trabalho, compra, venda, arrendamento e locação financeira de bens móveis e imóveis;

d) Pedir a convocação da Assembleia Geral, do Conselho Geral e do Conselho Fiscal nos termos estatutários;

e) Elaborar o relatório e as contas anuais e apresentá-los ao Conselho Fiscal, para verificação e parecer, antes da reunião da Assembleia Geral;

f) Elaborar o orçamento e o plano de actividades anuais;

g) Admitir novos membros e propor à Assembleia Geral a sua exclusão;

h) Aceitar doações, heranças ou legados, com observância do disposto no artigo 6º., número 1, alínea c).

5 -A Direcção delibera por maioria dos votos dos seus membros, tendo o Presidente voto de qualidade.

6 -A Direcção reúne sempre que o exija a prossecução dos objectivos da SDWB, por convocação do seu Presidente, ou de quem legalmente o substitua, na sua ausência ou impedimento.

7 -A Direcção pode criar departamentos para facilitar o melhor desempenho das suas atribuições, de acordo com as necessidades das actividades da SDWB.

Artigo 14º.

Conselho Fiscal

1 -O Conselho Fiscal é composto por Presidente, um Relator e um Secretário, eleitos pela Assembleia Geral.

2 -Compete ao Conselho Fiscal:

a) Fiscalizar a actividade da Direcção, designadamente no que se refere à observância das normas legais e estatutárias;

b) Examinar a gestão económico-financeira da SDWB;

c) Dar parecer sobre o relatório e contas anuais.

3 -O Conselho Fiscal reúne por convocação do seu Presidente, ordinariamente, pelo menos uma vez por ano, e extraordinariamente por sua iniciativa, ou quando pedida a sua convocação pela Direcção.

CAPÍTULO V

Disposições Gerais

Artigo 15º.

Vinculação

A SDWB vincula-se com a assinatura conjunta de dois membros da Direcção, uma das quais deverá ser, obrigatoriamente, a do Presidente ou de quem legalmente o substitua, excepto para actos de mero expediente em que é suficiente a assinatura de um desses membros.

Artigo 16º.

Ano Social

Para os efeitos previstos nestes estatutos e no regulamento de funcionamento interno, o ano social coincide com o ano civil.

Artigo 17º.

Extinção, Cisão ou Fusão

1 -A extinção, cisão ou fusão da SDWB só poderá deliberar-se em Assembleia Geral expressamente convocada para o efeito, com aprovação de três quartos dos seus membros no pleno gozo dos seus direitos, mantendo, a partir desse momento, existência jurídica exclusivamente para efeitos liquidatários.

2 -Em caso de extinção, o património da SDWB terá o destino que, por deliberação da Assembleia Geral lhe for dado, e salvo disposições legais em contrário, for julgado mais conveniente para a prossecução dos objectivos para que foi constituída devendo, em particular, e sempre que possível, reverter para instituições ou serviços oficiais com finalidades idênticas.

Artigo 18º.

Normas Subsidiárias

No que os presentes estatutos sejam omissos, rege o regulamento de

funcionamento interno e as disposições legais aplicáveis sobre associações e organizações não-governamentais para o desenvolvimento.
